These Terms of Service (“Terms”) govern your access to and use of sharpcg.com (the “Site”) operated by [Sharp Capital] (“Sharp,” “we,” “us,” “our”). By accessing or using the Site, you agree to these Terms.

1) Who We Are; No Advice

Sharp is a principal real-estate investor. Website content is for general informational purposes only and does not constitute legal, tax, financial, brokerage, appraisal, or other professional advice. Nothing on the Site is an offer or solicitation to buy or sell securities; any such offering would be made only through official offering documents to eligible investors.

2) Use of the Site

You may use the Site only for lawful purposes. You may not: (a) reverse engineer, scrape, or mine data except as permitted by robots.txt; (b) interfere with Site operation; (c) use automated means without our prior written consent; (d) submit false, infringing, or harmful content.

3) Ownership & License

The Site and its content are owned by Sharp or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal or internal business use. All rights not expressly granted are reserved.

4) User Submissions; Property Submissions

If you submit information (e.g., property details, contact info, documents, photos), you represent you have the right to share it and grant Sharp a non-exclusive, worldwide, royalty-free license to use it to evaluate potential transactions and operate the Site. No agency, brokerage, or fiduciary relationship is created by your use of the Site or communications with us unless expressly agreed in a separate written instrument.

5) SMS/Text Messaging Program Terms

By providing your mobile number to Sharp (e.g., via forms, calls, email, or text) and affirmatively opting in where required, you consent to receive marketing and transactional texts from Sharp at the number provided, which may be sent using an autodialer where permitted. Consent is not a condition of purchase or sale.

  • Opt-Out: Reply STOP to end. A confirmation message may follow.

  • Help: Reply HELP for help.

  • Frequency: Varies. Msg & data rates may apply.

  • Carriers are not liable for delayed/undelivered messages.

  • You must be the subscriber or customary user of the number provided. You agree to notify us of number changes.
    Our Privacy Policy applies to the SMS program. We reserve the right to modify or cancel the program at any time.

6) Third-Party Links & Services

The Site may link to third-party sites/services. We are not responsible for third-party content or practices.

7) Disclaimers

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted or error-free.

8) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHARP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE WILL NOT EXCEED $100.

9) Indemnification

You agree to defend, indemnify, and hold harmless Sharp and its affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or violation of these Terms.

10) Arbitration & Class-Action Waiver

Please read this section carefully. Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by JAMS (or another mutually agreed provider) in [Los Angeles County, California], before a single arbitrator, under the applicable rules.
You and Sharp waive any right to a jury trial and to participate in a class or representative action. Individual claims in small-claims court remain permitted.

11) Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to conflicts of law. Subject to arbitration, the exclusive venue for any permitted court action is the state or federal courts located in Los Angeles County, California.

12) Changes to the Terms

We may update these Terms from time to time. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

13) Termination

We may suspend or terminate access to the Site at any time, with or without cause. Upon termination, Sections 3 and 7–12 will survive.
